Terms of Service

DRAFT — NOT LEGAL ADVICE. This document was drafted as a starting point. Real-money skill gaming is regulated differently by state and country. Before launch, have this reviewed by a lawyer experienced in skill-gaming / gaming law, who will also confirm your eligible-jurisdiction list, arbitration clause, and governing law based on where your company is registered.

1. Who We Are and What This Is

DuelX ("DuelX," "we," "us") operates a skill-based competitive gaming platform at playduelx.com (the "Service") where players compete against each other in video game matches and tournaments, some of which involve entry fees and cash prizes. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Skill-Based Competition — Not Gambling

All paid competitions on DuelX are contests of skill. Outcomes are determined by player performance in head-to-head matches and tournaments, not by chance. DuelX does not offer games of chance, betting against the house, or wagering on events you do not participate in.

3. Eligibility

  • You must be at least 18 years old to use the Service.
  • You must provide accurate registration information and keep it current.
  • One account per person. Creating multiple accounts is prohibited and grounds for termination and forfeiture of balances.
  • Paid competitions are void where prohibited by law. You are responsible for confirming that participating in skill-based contests for prizes is legal where you live. Residents of jurisdictions that prohibit or restrict such contests may not enter paid matches or tournaments and are not eligible for prizes.
  • DuelX employees, contractors, and their household members may not participate in paid competitions.

4. Your Account

You are responsible for your account and everything done with it. Keep your password secure. Notify us immediately at support@playduelx.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms, show signs of fraud, or harm the integrity of competition, at our discretion.

5. Credits, Deposits, and Fees

  • Credits are the platform balance used to enter paid matches and tournaments. Credits are purchased through our payment provider (PayPal) and are shown in your Wallet.
  • Credits are a limited license to participate in paid competitions on the Service. They are not money, do not earn interest, and may not be transferred between users.
  • Platform fee: DuelX retains 10% of the pot on cash match payouts and applies the payout structure published on each tournament page. Fees are shown before you enter any paid competition and itemized in your transaction history.
  • All entry fees are committed when a match is accepted or a tournament starts. Cancellations and no-shows are handled per the Match Rules; where a refund applies, it is returned to your Wallet as credits.

6. Withdrawals

  • You may request withdrawal of your available (non-committed) balance, subject to a minimum withdrawal amount shown on the Wallet page.
  • Withdrawals are sent to your PayPal account. You are responsible for providing the correct PayPal email.
  • Withdrawal requests are reviewed for fraud and eligibility before processing. We may require identity verification (KYC) before your first withdrawal or at any time.
  • We may withhold or reverse payouts obtained through fraud, collusion, multi-accounting, cheating, chargebacks, or violation of these Terms.

7. Prime Membership

Prime is an optional monthly subscription billed through PayPal. Benefits are listed on the Prime page and may change with notice. You can cancel anytime; cancellation stops future billing and Prime benefits end at the close of the paid period. Except where required by law, subscription fees are non-refundable.

8. Match and Tournament Rules

  • Every game and mode has published rules (map pools, hosting, restrictions). By entering, you agree to the ruleset shown on the match or tournament page.
  • Maps and hosts may be assigned automatically by the platform.
  • Score reporting: reporting a loss finalizes the match. Conflicting win reports open a dispute where both sides must submit proof (screenshots/video). Staff decisions on disputes are final.
  • No-shows and forfeits: timers for readiness and score reporting are shown in the match room; failing to respond within them may result in an automatic forfeit.
  • Cheating of any kind — hacked lobbies, exploits, boosting, smurfing, match-fixing, collusion, playing on another person's account — results in forfeiture of the match, possible confiscation of balances won through the conduct, and account penalties up to permanent ban.
  • Staff may resolve any competitive-integrity issue at their discretion, including disqualifying participants, voiding matches, and adjusting brackets.

9. Taxes

Prizes may be taxable income. You are solely responsible for any taxes on your winnings. For winners above reporting thresholds, we may require tax information (e.g., IRS Form W-9 for U.S. persons) before releasing payment and may file required reports with tax authorities.

10. Conduct and Chat

Match chat and other communication features must not be used for harassment, hate speech, threats, sexual content, doxxing, spam, advertising, or illegal activity. Communications on the Service are not private: staff may monitor, join, and review chats, including for dispute resolution and support. We may remove content and penalize accounts at our discretion.

11. Fair Play and Platform Integrity

You may not: interfere with or disrupt the Service; probe or breach security; scrape or harvest data; use bots or automation to play, enter, or accept competitions; reverse engineer the platform; manipulate matchmaking, XP, ladders, or trophies; or abuse bugs. Report bugs to support@playduelx.com instead.

12. Third-Party Games and Trademarks

DuelX is an independent platform and is not affiliated with, endorsed, or sponsored by Activision, Epic Games, Psyonix, Sony, Microsoft, Nintendo, Valve, or any game publisher or platform holder. All game titles, artwork, and trademarks belong to their respective owners. You need your own legal copies of games and platform accounts to compete; your use of those games is governed by their own terms.

13. Our Content

The DuelX name, logo, site design, software, and content are owned by us or our licensors. We grant you a personal, non-transferable, revocable license to use the Service for its intended purpose. Don't copy, resell, or create derivative works from the Service.

14. Service Changes and Availability

The Service is provided "as is" and "as available." We may change, suspend, or discontinue features (including games, modes, ladders, Prime benefits, and fee structures) at any time. We do not guarantee uninterrupted or error-free operation. Where a paid competition is cancelled by us before completion, committed entry fees are returned to Wallets as credits.

15. Account Inactivity and Closure

You may close your account at any time by contacting support@playduelx.com; withdraw your eligible balance first. We may close accounts that remain inactive for extended periods after attempting to notify you.

16. Disclaimers and Limitation of Liability

To the fullest extent permitted by law: we disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement); we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/data; and our total liability for any claim relating to the Service is limited to the greater of (a) amounts you paid us in the 12 months before the claim or (b) $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

17. Indemnification

You agree to defend and indemnify DuelX and its owners, employees, and partners against claims and costs (including reasonable attorneys' fees) arising from your violation of these Terms, your content, your violation of law, or your infringement of others' rights.

18. Disputes With Us; Governing Law

Contact support@playduelx.com first — most issues are resolved informally. This section must be drafted for your entity's home jurisdiction. Decide: governing law, venue, and whether to include a binding arbitration clause and class-action waiver — enforceability varies significantly by country and state, and specific notice/opt-out language is often required.

19. Changes to These Terms

We may update these Terms. For material changes we will give notice (email or in-app) at least 30 days before they take effect, where feasible. Continued use after the effective date constitutes acceptance. The current version will always be available on the Service.

20. Copyright Complaints (DMCA)

If you believe content on the Service infringes your copyright, send a notice to support@playduelx.com including: identification of the work, the location of the allegedly infringing material, your contact information, a good-faith statement, a statement of accuracy under penalty of perjury, and your physical or electronic signature. We respond to valid notices and may terminate repeat infringers.

21. General

These Terms (with the Privacy Policy and published competition rules) are the entire agreement between you and DuelX regarding the Service. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms; we may. Our failure to enforce a provision is not a waiver.
